These Terms of Commerce ("Terms") govern all business-to-business (B2B) sales, export transactions, and supply agreements between PT Exitco Global Trading ("Seller", "we", "us") and the purchasing entity ("Buyer", "you"). By issuing a Purchase Order (PO) or signing a Proforma Invoice (PI) with Exitco, the Buyer agrees to be bound by these Terms.

1. Pricing and Incoterms

  • All quotes and prices provided are based on Incoterms® 2020 rules as published by the International Chamber of Commerce (ICC).
  • Unless otherwise stated, standard quotations are provided on a FOB (Free On Board) basis from major Indonesian ports (e.g., Tanjung Priok, Tanjung Emas). CFR and CIF terms are available upon request.
  • Due to the fluctuation of ocean freight rates and raw material costs, quoted prices are valid only for the period explicitly stated on the official Proforma Invoice (typically 7 to 14 days).

2. Payment Terms

To ensure secure and mutual trust in international transactions, our standard accepted payment methods are:

  • Telegraphic Transfer (T/T): A 50% non-refundable deposit is required upon signing the Proforma Invoice to initiate production. The remaining 50% balance must be settled against the presentation of the draft/copy of the Bill of Lading (B/L) and other shipping documents.
  • Letter of Credit (L/C): We accept 100% Irrevocable L/C at Sight from top-tier international banks for high-volume contract orders, subject to prior management approval.
  • Original shipping documents (OBL) or Telex Release will only be issued upon receipt of full and final payment in the Seller’s bank account.

3. Production and Lead Times

  • Standard production lead time for a 20ft or 40ft full container load (FCL) ranges from 14 to 21 working days after the receipt of the deposit.
  • Custom packaging (OEM/Private Label) requires additional lead time for initial box printing and design approval.
  • The Seller shall not be held liable for shipment delays caused by port congestion, vessel rescheduling, container shortages, or other logistical issues entirely controlled by shipping lines.

4. Quality Assurance and Claims

  • Our coconut shell charcoal briquettes are strictly manufactured to meet the agreed specifications regarding fixed carbon, ash content, moisture, and burning time.
  • Quality verification by independent third-party laboratories (e.g., Sucofindo, Carsurin) prior to loading is final and binding.
  • Any claims regarding product defect or discrepancy must be submitted in writing with valid photographic/video evidence within 7 days of the container's arrival at the destination port.

5. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms if such failure is caused by extraordinary events beyond reasonable control ("Force Majeure"). These events include, but are not limited to: natural disasters, earthquakes, severe weather affecting raw material harvesting, strikes, port closures, government embargoes, or war.

6. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with international trade transactions shall be governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes shall be settled amicably, failing which, through binding arbitration in Indonesia.
